Influencer / Affiliate Agreement
INFLUENCER / AFFILIATE CONTRACT AGREEMENT
Welcome to Sccoti! Thank you for deciding to become a member of our affiliate program.
The following terms and conditions apply to anyone accessing or using the Program, whether as a client ("Client") or as an affiliate/influencer ("Partner") who refers customers to use the merchant's product or service.
By joining the program, the Partner agrees to use the Program in the manner stated in these Terms and Conditions and is bound by them. You are not authorized to register as an affiliate or participate in the Program in any way if you do not agree to these Terms and Conditions in their entirety.
I. Parties
This Affiliate & Influencer Agreement ("Agreement") is entered into by and between:
Sccoti, a brand owned by CoreExponent LLC, a company organized under the laws of the State of Texas, USA, with its principal business address at 6060 N Central Expressway, Dallas, Texas 75206 (hereinafter referred to as the "Client"),
and
the individual or entity ("Partner") who applies to and participates in the Sccoti Affiliate and/or Creator Program via Impact.com, regardless of physical location.
Collectively, the Client and the Partner shall be referred to as the "Parties."
II. Services and Compensation
The Partner agrees to perform one or more of the following promotional services ("Services"), depending on the nature of their role:

Create and/or publish content that promotes the Sccoti brand and its products, such as social media posts, videos, reels, product reviews, or blogs

Utilize assigned tracking links, coupon codes, or other tools provided via Impact.com (or equivalent platform) to drive traffic or attribute sales

Comply with Sccoti’s branding, promotional, and communication guidelines
Compensation:

The Partner will receive up to 40% commission on qualified sales attributed through assigned tracking tools provided by the Client’s chosen affiliate platform (e.g., Impact.com, UpPromote, or the Client’s custom platform).

Commissions are calculated and paid according to the tracking and payout mechanisms of the respective platform used
-
Bonuses, gifted products, or incentives may be offered by separate agreement
-
No commissions are due on untracked, fraudulent, or misattributed sales
III. Promotion Platforms and Content Requirements
If the Partner is engaged as an influencer or content creator, they agree to promote the Client’s products on one or more of the following platforms:

Suggested minimum content deliverables (unless otherwise arranged or defined in a campaign brief):

1 Story per month

1 Post per month

1 Link in Bio
All promotional content must:

Comply with FTC disclosure guidelines

Be high-quality, authentic, and brand-safe

Be submitted for approval if requested, at least 3 days prior to posting

Remain live for a minimum of 30 days unless otherwise agreed
For non-content affiliates (e.g., coupon or deal sites), content deliverables may not apply.
If a custom campaign is arranged, the scope, timeline, and deliverables shall be outlined in a separate document (e.g., campaign brief or Statement of Work), which will be considered binding and incorporated by reference.
IV. Term and Termination
This Agreement is effective upon the Partner’s acceptance into the Sccoti Affiliate or Creator Program on Impact.com and remains in effect until terminated by either party.
Either party may terminate this Agreement:

With cause, effective immediately upon written notice (e.g., for brand misrepresentation, policy violations, or fraud)

Without cause, with 30 days’ written notice via email or platform message
All valid commissions earned prior to termination will be paid in accordance with Impact.com’s payout schedule.
V. Expenses
Unless explicitly agreed in writing:

The Client will only cover pre-approved expenses, such as gifted products or campaign-specific supplies

The Partner is responsible for any other costs incurred, including content production, internet access, taxes, and team members
Receiving a gifted product does not obligate the Partner to post unless a specific deliverable is agreed in writing. Any such commitment must be confirmed prior to shipment.
VI. Content Ownership & Usage Rights
If the Partner creates original content under this Agreement, they retain ownership.
However, the Partner grants CoreExponent LLC and its brand Sccoti a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use that content, including but not limited to:

Reproducing, editing, modifying, cropping, translating, or adapting the content (e.g., for multilingual markets or formatting)

Publishing and distributing the content across all owned, earned, or paid channels (e.g., websites, social media, email, print)

Using the content in digital and traditional advertising (e.g., Meta, TikTok, Pinterest, Google)
-
Displaying the content on product pages, packaging, or retail listings
-
Featuring the Partner’s name, handle, image, likeness, or voice in connection with such content
The Partner consents to the use of their voice, likeness, and image for derivative works created via artificial intelligence or voice synthesis technologies for the purposes of multilingual dubbing or localization. The Client agrees to use such adaptations in a brand-safe and non-defamatory manner.
The Partner waives any moral rights to object to minor modifications, edits, or cropping of the content for brand fit and formatting.
This license applies to all content created under this Agreement and will survive termination.
VII. Confidentiality
The Partner agrees to keep confidential any non-public information received from the Client, including but not limited to:

Product details or pricing

Marketing strategy or campaign information

Customer, sales, or operational data
This clause survives for 12 months following termination of the Agreement.
VIII. Independent Contractor Status
The Partner is an independent contractor and not an employee, agent, or representative of the Client. Accordingly:

The Partner is free to work with other brands unless prohibited by a specific campaign

The Client does not control how services are performed or provide tools, equipment, or training
-
The Partner is responsible for any collaborators or subcontractors
IX. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, USA, regardless of the Partner’s place of residence.
X. Additional Terms

The Client may revise commission rates, promotional tools, or campaign terms with written notice via email or the affiliate platform

Any violations of advertising laws, platform terms, or Sccoti’s brand guidelines may result in immediate suspension or removal

The Client reserves the right to update or modify the terms of this Agreement at any time, in its sole discretion, without requiring separate written consent from the Partner. Any such updates will be communicated through the Partner's affiliate platform dashboard, email, or official Sccoti communication channels. Continued participation in the Program after such updates constitutes acceptance of the revised terms.

The Partner agrees not to make any public statements or create content that could reasonably be interpreted as disparaging, defamatory, or harmful to the reputation of Sccoti or its products.
XI. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior communications, written or oral. Any amendments must be in writing and agreed by both parties.
XII. Acceptance
By applying to and participating in the Sccoti Affiliate or Creator Program through any approved affiliate platform, the Partner acknowledges they have read, understood, and agreed to the terms and conditions outlined in this Agreement.
This Agreement is binding upon approval into the program and remains effective until terminated under the conditions above. The Client reserves the right to assign Partners to the affiliate platform that best fits their profile, technical compatibility, or geographic region. The Partner agrees to use the platform and tools provided by the Client for tracking, reporting, and payouts.
